This End User License Agreement ("EULA", "License Agreement") is a legal agreement between you (either an individual or a single entity) and monsterDSP ("we", "our", "us", "Company") for the monsterDSP software products, which includes computer software, associated media, printed materials, and online or electronic documentation (collectively, the "Software").
By purchasing, downloading, installing, or using the Software, you agree to be bound by the terms of this License Agreement. If you do not agree to the terms of this License Agreement, do not purchase, download, install, or use the Software.
Subject to the payment of the applicable license fees and your compliance with the terms and conditions of this Agreement, monsterDSP hereby grants you a limited, non-exclusive, non-transferable license to:
A Single-User License permits you, the license holder, to install and use the Software on up to two (2) computers, provided that you are the only individual using the Software and only one copy is used at a time. This is typical for installations on a studio computer and a laptop for the same user.
A Multi-User License permits installation and use of the Software on more than two computers or by more than one user, as specified in your purchase agreement. Each individual user must be covered by the license.
An Educational License is available only to eligible educational institutions, faculty, and students, as defined at the time of purchase. Educational Licenses may have feature limitations and shall not be used for commercial purposes.
An Evaluation License permits you to install and use a demonstration version of the Software for a limited trial period for the sole purpose of determining whether the Software meets your requirements and whether you wish to purchase a license to the Software.
Except as expressly permitted in this License Agreement or by applicable law, you may not:
The Software is licensed, not sold. monsterDSP retains all rights, title, and interest in and to the Software, including all intellectual property rights. The Software is protected by copyright, trademark, and other laws of both the country in which you obtained the Software and international treaties.
All audio content, presets, samples, instruments, MIDI files, and other media content provided with the Software ("Content") is licensed, not sold, to you for use only within the context of your use of the Software, subject to additional restrictions as set forth in Section 6 below.
monsterDSP grants you a non-exclusive license to use the Content provided with the Software under the following conditions:
The Software may employ license validation and activation technology designed to prevent unauthorized use and copying of the Software. You agree that monsterDSP may use these measures to protect against software piracy and to verify your compliance with this License Agreement.
The activation process may require an internet connection to authenticate your license. You understand that upon installation and activation, the Software may send certain information to monsterDSP for license validation purposes, including but not limited to computer specifications.
monsterDSP may use security measures in the Software to detect changes to the Software or unauthorized use. If such changes or unauthorized use is detected, you may be prevented from using the Software and your license may be terminated.
Single-User and Multi-User Licenses may be transferred to another person or entity only with prior written consent from monsterDSP and subject to the following conditions:
monsterDSP may, at its discretion, provide updates, bug fixes, and upgrades to the Software. The terms of this License Agreement will govern any updates provided by monsterDSP that replace and/or supplement the original Software, unless such update is accompanied by a separate license, in which case the terms of that license will govern.
Technical support for the Software may be provided as specified at the time of purchase. monsterDSP has no obligation to provide support for outdated versions of the Software.
This License Agreement is effective until terminated. Your rights under this License Agreement will terminate automatically without notice from monsterDSP if you fail to comply with any term of this License Agreement.
Upon termination of this License Agreement, you shall cease all use of the Software and destroy all copies, full or partial, of the Software.
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. monsterDSP DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.
THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH YOU. SHOULD THE SOFTWARE PROVE DEFECTIVE, YOU ASSUME THE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL monsterDSP BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF monsterDSP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ANY CASE, monsterDSP'S ENTIRE LIABILITY UNDER ANY PROVISION OF THIS LICENSE AGREEMENT SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE.
You may not export or re-export the Software in violation of any applicable laws or regulations including, without limitation, those of the United States of America and other countries.
This License Agreement shall be governed by and construed in accordance with the laws of [Your Country/State], without giving effect to any choice of law or conflict of law provisions. Any legal suit, action, or proceeding arising out of or related to this License Agreement shall be instituted exclusively in the courts located in [Your City/State], and you consent to the personal jurisdiction of such courts.
If any provision of this License Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
This License Agreement constitutes the entire agreement between you and monsterDSP regarding the use of the Software and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the subject matter.
